Terms & Conditions of Portal

LAKESIDE PROCESS CONTROLS LTD., herein referred to as LAKESIDE requires all visitors to this Portal to agree to these terms and conditions. By clicking the "Yes" button, the user ("you") indicate your acknowledgment and acceptance of these terms and conditions. LAKESIDE reserves the right to make modifications, or updates to the Portal contents and revise Terms and Conditions of use as may be required without prior notice. Each modification shall become effective immediately upon being posted on the LAKESIDE Portal. User continued use of the Portal after each modification are posted constitutes an acknowledgement and acceptance of these Terms and its modifications.  All references in these Terms to “you” or “your” shall refer to the end users of the Portal. All other references in these Terms to “we,” “us,” or “our” shall refer to LAKESIDE
 
1. In order to access certain features of the Portal, you will be required to provide information about yourself (such as identification name or contact details) as part of the registration process or as part of your continued use of the Portal.  You agree that you will not misrepresent your identity and that any such information you give to LAKESIDE and will always be accurate, correct, not misleading and up to date.  You agree that LAKESIDE may rely on that information unless and until it receives notice from you of any change or update to the information as provided by you. 

2. You agree and understand that you are responsible for maintaining the confidentiality and security of your Portal credentials, including user ID and password.  You must not disclose your Portal user credentials to, or share it with, others outside of your organization or entity.  You are fully responsible for all activities that occur through use of your Portal credentials.  LAKESIDE cannot and will not be liable for any form of loss or damage from your failure to comply with this security obligation. You must immediately notify LAKESIDE if you become aware or suspect that your Portal credentials, including password details, have been compromised or are known by a third party or there has been unauthorized use of your account and login details. You agree that you will be solely responsible to LAKESIDE for all activities that occur under your Portal credentials. 

3. The accessibility and operation of this Portal relies on internet technologies outside of LAKESIDE's control. LAKESIDE does not guarantee continuous accessibility or uninterrupted operation of this Portal. LAKESIDE will not be liable for any form of loss, damage, cost, or expense resulting from any delay in operation or transmission, communications failure, internet access difficulties and malfunctions to equipment or software owned by user to the Portal including resulting from any breach of a security measure (including viruses or other unauthorized software). LAKESIDE does not accept liability for the security, authenticity, integrity or confidentiality of any transactions and other communications made through this Portal.

All contents included on the Portal, such as trademarks, service marks, trade names, text, graphics, logos, icons, button icons, images, data compilations, domain names, and software, is the property of LAKESIDE or its content suppliers or used with permission. The compilation of all content on the Portal and software used are under the exclusive property of LAKESIDE and protected under the Canadian and international copyright laws.All software used on the Portal is the property of LAKESIDE or its software suppliers and protected by Canadian and international copyright laws.
 
Certain features within the Portal may allow you to post comments, send emails and other communications, and submit suggestions, ideas, comments, questions, or other information (together “Inputs”). You agree, understand, and represent that all of your Inputs: (i) is accurate, (ii) is owned or otherwise controlled by you, (iii) is not illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third-parties, and (iv) does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of "spam." You may not use a false e-mail address, impersonate any person or entity, or otherwise mislead as to the origin of Inputs. LAKESIDE reserves the right (but not the obligation) to monitor and edit or remove any Inputs activity or content. If you do post content or submit material, you have grant to LAKESIDE a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to further use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display of such content throughout the world in any media, including the right to use the name that you submit in connection with such inputs. LAKESIDE takes no responsibility and assumes no liability for any Inputs content as posted by you or any third-party acting on behalf of the user. The Portal may be linked to other websites not maintained by us. LAKESIDE do not control and are not responsible for the content of and policies governing use of those websites not maintained by us. The inclusion of any link to such websites does not imply approval of or endorsement by us of the websites or the content thereof. You agree that you are solely responsible for and you indemnify us against (and that LAKESIDE has no responsibility to you or to any third-party for), including any loss or damage which LAKESIDE may suffer arising out of, (a) your Communications and your use of and access to the Portal; (b) any breach of your obligations under these Terms, (c) any wilful, negligent or unlawful act or omission by you in relation to, or in the course of using, this Portal, (d) your violation or alleged violation of any third-party right, including without limitation, any intellectual property right, publicity, confidentiality, property or privacy right; (e) your violation or alleged violation of any laws, rules, regulations, codes, statutes, ordinances or orders; or (f) any misrepresentation made by you.

The Portal is provided by LAKESIDE on an “as is” and “as available” basis solely intended to provide only automated information sharing. The Portal information, with the included materials and available tools, are constructed to be of limited functionality, may be incomplete or inaccurate for your application; whereby each and every particular fact are unique of which may render it limited as general guidance only. As such, LAKESIDE’s shall not be held responsible for any user rely on or use of any such information, materials or tools as intended to be a technical advice and shall at all time conduct your own due diligence as appropriate to understand the applicable requirements or engage with specialist or subject experts in the field or contacting LAKESIDE for further advise. To the fullest extent permitted by law, LAKESIDE makes no representations or warranties of any kind, statutory, express, or implied, as to the operation of the Portal or the information, content, materials, or services included thereon, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose.  Without restricting the generality of the foregoing, LAKESIDE disclaims all liability for claims, and will not be liable for any claim, loss, damage cost or expense, including indirect, incidental, punitive, and consequential damages, arising from tort (except in cases of gross negligence or willful misconduct), of any kind in relation contract, infringement, or any other form of claim in relation to the use of, delivery of, license of or reliance upon the Portal. 
 
The use of this Portal and these are governed by the federal laws of the Canada and reference specific to Province of Ontario and Manitoba, without regard to principles of conflict of laws.  Any cause of action you may have with respect to your use of the Portal must be commenced within one (1) month after the claim or cause of action arises.
